Terms of Service

Nature of the Relationship

Aari provides transaction coordination and compliance oversight only. Aari does not act as a party to the real estate contract and will not perform duties that require a real estate license. The Agent remains fully responsible for all licensed activities, including advising clients, contract negotiations, and ensuring compliance with Florida real estate laws.

Duration of Services

These terms apply per transaction and remain in effect until the closing or termination of the contract, unless either party provides written notice to end the service.

Service Commitments

Aari agrees to carry out services with professional care, accuracy, and attention to detail. Services may include:

Timeline management and contract deadline tracking
Review and upload of required documents into AppFiles
Routing addenda and agreements for signatures
Coordinating with title, lenders, and cooperating agents
Preparing broker compliance submissions and disbursement authorizations

Collaboration from the Agent and all transaction parties is required for successful execution.

Business Hours & Response Expectations

Aari’s TC services operate Monday through Saturday, 8:00 AM to 7:00 PM EST (excluding major holidays).

Messages during business hours will be acknowledged within 2 hours.
Messages after hours will be addressed the following business day.
Files submitted by 12:00 PM EST are generally processed same-day. Submissions received later may roll over to the next business day, depending on workload.

Fee Structure

Unless otherwise agreed to in writing, fees are as follows:

$350 per transaction side
$440 for dual-side representation
$125 for listing coordination only

Payment Terms:

Transaction coordination fees are invoiced and due at successful closing.
Listing coordination fees are due at the time of service.
Unpaid invoices may result in late fees or collection action.

Contract Cancellations & Re-Engagement Policy

If a transaction cancels before closing, the TC fee will be waived.
If the same client enters a new contract within 60 calendar days of cancellation, the standard service fee will apply to the new file and coordination will resume.

Ending Services

If the Agent wishes to discontinue TC services:

Written notice must be provided.
Any outstanding balance becomes immediately due.
If Aari is removed from an active file before closing, a $125 cancellation fee per transaction will be charged.

If new laws or regulations prevent either party from fulfilling obligations, this agreement terminates immediately without penalty.

Agent Responsibility & Legal Indemnity

The Agent is responsible for ensuring all required documents are signed, accurate, and submitted for compliance.
The Agent affirms compliance with all applicable laws and licensing requirements.
Aari is not liable for errors resulting from third-party information or omissions.
The Agent agrees to indemnify and hold harmless Aari from any claims, liabilities, or expenses arising from the transaction.

Confidentiality

Aari will maintain strict confidentiality of all client, transaction, and business information. Disclosure will only occur with written authorization or when legally compelled. This duty survives the termination of services.

Changes to Agreement

Any amendment to these terms must be agreed to in writing and signed by both parties.

Jurisdiction

This Agreement shall be governed by and enforced under the laws of the State of Florida. Any disputes will be resolved in Florida courts.
